END USER LICENSE AGREEMENT (EULA)

321 CLIENT PORTAL

Effective Date: May 13, 2025

This End User License Agreement (“Agreement”) is entered into by and between you (“User,” “You,” or “Your”) and 321 Foto, Inc (“Company,” “we,” “us,” or “our”). By accessing or using the 321 CRM App (“App”), you agree to be bound by the terms of this Agreement.

1. LICENSE GRANT

We grant you a non-exclusive, non-transferable, revocable license to use the App solely for your business operations, subject to the terms of this Agreement.

2. DATA COLLECTION AND PRIVACY

a. Personal Information: The App collects names, email addresses, phone numbers, event details, and payment information for the purpose of event management and business administration.

b. Third-Party Integration: This App integrates with Intuit QuickBooks and Intuit Payments. By using this App, you authorize the transfer of relevant data to and from these third-party services.

c. GDPR/CCPA Compliance: We adhere to applicable data protection laws. For more details, please refer to our Privacy Policy.

3. PAYMENT PROCESSING

a. Payments are processed securely through Intuit Payments. We do not store full credit card numbers on our servers.

b. Payment disputes or chargebacks must be handled in accordance with Intuit’s policies.

c. You are responsible for all transaction fees imposed by Intuit or your bank.

4. USER RESPONSIBILITIES

You agree to:

  • Provide accurate and current information.

  • Keep login credentials confidential.

  • Use the App in compliance with all applicable laws and regulations.

5. LIMITATIONS OF USE

You shall not:

  • Decompile, reverse engineer, or attempt to extract the source code.

  • Use the App to send spam, commit fraud, or violate any applicable law.

  • Introduce viruses or malicious code.

6. INTELLECTUAL PROPERTY

All content, trademarks, and software code remain the exclusive property of 321 Foto, LLC. Your use of the App does not grant any ownership rights.

7. DISCLAIMER OF WARRANTY

The App is provided “as is” without warranties of any kind, either express or implied. We do not guarantee that the App will be error-free or uninterrupted.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the App or integrations with Intuit.

9. TERMINATION

We may suspend or terminate your access to the App at any time for violation of this Agreement or misuse of the system. Upon termination, your right to use the App ceases immediately.

10. CHANGES TO THIS AGREEMENT

We reserve the right to update this Agreement at any time. Continued use after notice constitutes acceptance of the revised terms.

11. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Washington, without regard to its conflict of law provisions.
